PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SITE. “ECZ” is short for Ecurrencyzone.com.

“Account" means a Standard Account in site to make queries and check orders status. We do not hold customer funds with us.

"Cryptocurrency or Crypto" means the coins, tokens, crypto, listed by us on our Platform from time to time.

"DPT" means Digital Payment Token as defined under S.2 of the Payment Services Act 2019.

Token Abbreviations:

1. BTC means Bitcoin
2. LTC means Litecoin
3. ETH means Ethereum
4. USDT means Tether
5. SGD means Singapore Dollars
6. USD means United States Dollars

"Entity" means one of the following:

1. A sole proprietorship;
2. a private limited company;
3. a public limited company;
4. a general, limited or limited liability partnership;
5. a trust;
6. a foundation.

"Platform" means the Website made available by us from time to time.

"Privacy Policy" means the privacy policy that we have available on our Website from time to time, accessible at our privacy-policy page.

"Services" means the exchange services used to convert, buy, sell Cryptocurrency.

"Terms and Conditions" means these terms and conditions.

"Website" means the internet site at the address https://ecurrencyzone.com or any other site operated by us.

"we, us or our" means Net Marketing Services Pte Ltd, UEN 202120451C

"you or your" means any user of the Platform.

"Applicable Laws" means any and all applicable laws, statutes and regulations, and any and all directives, notices, guidelines codes, practice notes, circulars, policy statements, rules, ordinances, orders, requests, requirements, judgements, regulatory or judicial body or agency having jurisdiction over any of the parties to this Agreement.

"MAS" means the Monetary Authority of Singapore.

"NMS" means the Net Marketing Services Pte. Ltd.

"PSA" means the Payment Services Act 2019 (No. 2 of 2019), as may be amended, supplemented or replaced from time to time.

“AML/CFT” means Anti-Money Laundering and Counter-Terrorism Financing. You can read our AML Policy here.

“KYC” means Know Your Customer. Every customer who registers with us must complete our KYC process.

"SMS" means short messaging services.

"Stablecoins" means any Digital Token that is designed to maintain a stable value relative to another asset (typically a unit of fiat currency or commodity) or a basket of assets.

“Fiat money” refers to the national currency. E.g. In Singapore, it is the Singapore Dollar.

“Order” means a Buy or Sell request made by the user to exchange a specific amount of Digital Token into fiat or vice versa.

“OTC” means Over-The-Counter. Customers can make appointments with us to perform a Face to Face trade deal at our office. By accessing or using the Site, you represent and warrant that you have not previously been suspended or removed from the Site. You represent and warrant that you are not: (a) located in, under the control of, or a national or resident of any country to which the Singapore has embargoed goods or services; (b) identified as a "Specially Designated National", or (c) placed on the Commerce Department’s Denied Persons List. You further represent and warrant that you will not use the Site if the laws of your country prohibit you from doing so in accordance with these Terms.

NMS has the right to change, supplement, or replace any or all of these Terms at any time in our sole and absolute discretion. You will be notified of the revised terms. We will update the Last Revised Date after any revision done to our terms of use. Any changes to the Terms will take effect as soon as they are disclosed on our Website or separately notified to Users. Continued use of the Services constitutes acceptance of the new Terms and your consent to be bound by them. Please discontinue using the Services if you do not agree to any changes to this Agreement. We recommend all users to review our Terms of Use regularly to ensure you understand the terms and conditions that apply to your access to, and use of, the Services. The Monetary Authority of Singapore (MAS) requires NMS to provide this risk warning to you as a customer of a digital payment token (DPT) service provider. Before you pay your DPT service provider any money or DPT, you should be aware of the following:

1. Your DPT service provider is exempted by MAS from holding a licence to provide DPT services. Please note that you may not be able to recover all the money or DPTs you paid to your DPT service provider if your DPT service provider’s business fails.
2. You should not transact in the DPT if you are not familiar with this DPT. Transacting in DPTs may not be suitable for you if you are not familiar with the technology that DPT services provide.
3. You should be aware that the value of DPTs may fluctuate greatly. You should buy DPTs only if you are prepared to accept the risk of losing all of the money you put into such tokens.

Cryptocurrency trading has its own risks that are not generally shared with conventional currencies, goods or commodities in a market. Unlike most currencies, which are backed by governments or other legal entities, or by commodities such as gold or silver, Cryptocurrencies are backed by technology and trust in a digital, decentralised and partially anonymous system that relies on peer-to-peer networking and cryptography to maintain its integrity. There is no central authority that can take corrective measures to protect the value of Cryptocurrencies in a crisis.

Cryptocurrency trading is susceptible to irrational (or rational) bubbles or a sudden loss of confidence caused by new regulations or flaws in the technology, which could lead to a sharp plunge in demand relative to supply, resulting in a price collapse.

There may be additional unforeseeable risks that we have not identified in our Terms and Conditions. You should carefully assess your personal financial situation and risk tolerance before dealing with cryptocurrencies.

We do not provide any financial product advice, financial goods, or financial services. Nothing on our Platform should be construed as legal, financial, business, or taxation advice. In connection to any Cryptocurrency operations, users should get their own legal, financial, business, tax, and accounting advice.

Eligibility

You must register for an Account to access the Platform and our Services. You can register for an Account via the ECZ Main page using the Register link.

To be eligible to open an Account with us, you must:

1. be an individual who is at least 18 years old; or
2. be an Entity.

Our Platform is available only to people who have an active local bank account in Singapore and only to users with no nexus to High-Risk and/or Sanctioned Countries. You must also not have previously been suspended or removed from using our Services. NMS shall have the right to terminate, suspend or restrict your access to your Account(s), as well as take any other action as we deem fit, in the event that you are not, or are no longer, eligible to use the Services. When you sign up for an account on our site, you agree to provide any information requested by us, including all information that is necessary for us to comply with our AML/CFT policies.

Registration

To use our site and our services, you will need to register for an Account by:

1. Providing email address
2. Real name
3. Phone number
4. Address
5. Country of Residence
6. Password
7. Accepting the terms and conditions of this Agreement.

By registering, you agree to:

1. provide accurate, current and complete information when creating or updating an Account, including all information required by us to comply with our anti-money laundering and counter-terrorism financing obligations and our internal policies;
2. maintain and promptly update your Account information;
3. maintain the security and confidentiality of your login credentials and restrict access to your Account and your computer;
4. promptly notify NMS if you discover or otherwise suspect any security breaches related to the Site; and
5. take responsibility for all activities that occur under your Account and accept all risks of unauthorized access.

After registration, complete your account verification by submitting:

1. Photo ID
2. Address/Residence Proof
3. Selfie with your ID / Video call

Customer Due Diligence

You agree to provide us with Photo ID (National IC, Passport) and Address Proof for verification. We will conduct an interview with you, be it phone call or face-to-face, to understand your purpose of buying cryptocurrency, and how much you understand about the risk involved in trading cryptocurrencies. You allow us to perform a Customer KYC Screening using compliance software tools on your profile for us to understand your profile risk.

Enhanced Due Diligence

You agree to provide us with any additional or other information, documents and/or materials about yourself or your business, have face-to-face meetings with representatives of NMS or take any other action as we may require for purposes of performing enhanced due diligence on you so that we may, among other things, establish the source of your wealth and source of funds for any transactions carried out in the course of your use of the Services. We reserve the right to charge you any costs and fees associated with Enhanced Due Diligence.

Operating hours

Business hours are between 9:00am and 7:00pm Singapore time GMT+8, Monday to Friday, and 10:00am to 2:00pm on Saturday, excluding Singapore public holidays.

Use

1. Your Account is to be used by you only.
2. You are not allowed to authorise anyone else to use your Account.
3. You are not allowed to transfer or assign your Account to any other person or entity.
4. You are solely responsible to keep your Account up-to-date and confidential (including your log-in credentials and any information you have provided in connection with your Account).
5. We are not responsible or liable for any unauthorized access to your Account (even if you may not be aware of such unauthorized access), unless your Account is compromised due to a breach in our Platform's security.

By using our Site, you acknowledge and agree that these Terms and Conditions (including, without limitation, any and all schedule(s) and addendum(s) to this Agreement and any and all other documents, materials or information incorporated by reference herein) are governed by the laws of Singapore, and that you irrevocably submit to the exclusive jurisdiction of the courts of Singapore. You are granted by us a personal, non-exclusive, non-transferable, revocable and limited right to utilize the Platform and our Services. We reserve all rights, title and interest not expressly granted under this licence to the fullest extent possible under law. We strictly prohibit any use of the Platform or Services not specifically permitted under these Terms and Conditions.

You acknowledge and agree that the Platform and the Services belong to NMS and are protected by copyright, intellectual property and other applicable laws.

You may read, print, and/or download a copy of any items from the Platform on a single computer for your personal, non-commercial use, as long as all copyright and other proprietary notices are preserved. You agree not to alter the Platform's content in any way, or to use modified versions of the Platform or any of its materials, including without limitation for the purpose of gaining unauthorized access to the Platform.

You agree not to access our Services by any means other than through the Platform.

The trademarks, service marks, product names, company names and logos used on the Platform are either owned by us or are licenced or used with permission from a third party owner. Any third party trademark, service mark, product name, company or logo remains the property of the respective owner(s).

Unless otherwise noted, all software, text, photos, graphics, data, pricing, trades, charts, graphs, video, audio, and other similar content utilized, displayed, or otherwise made available on the Platform belong to us or are licensed to us. The information must not be copied, reproduced, modified, republished, uploaded, posted, communicated, scraped, gathered, or distributed in any way, whether manually or automatically. Upon registering and creating an Account with us, you must agree to:

1. keep all information current, accurate, and complete and promptly update any information in your Account if there are any changes and you will not provide us with any false, inaccurate, misleading or deceptive information;
2. if you provide any inaccurate or incomplete information to us, or we have reasonable grounds to suspect you have, we may suspend or terminate your Account;
3. not to allow third-party access your Account at any time;
4. not obtain unauthorised access to any persons' Account;
5. fully cooperate with us in investigating any improper, unlawful or fraudulent access to or use of your Account or any other Account;
6. contact us immediately if you believe that your Account may be subject to any unauthorised access or other type of fraudulent activity or security breach. Failure to notify us in a timely manner may limit the options available to us to protect your Account. We will not be responsible or liable for any loss you suffer from any unauthorised access, fraudulent activity or security breach, except to the extent that such loss arises from our failure to take reasonable steps to secure the Platform;
7. cooperate fully with us to investigate any suspected unlawful, fraudulent or improper activity on the Account;
8. not open more than one Account for yourself, by using a name that is not yours, using a temporary phone number or providing any other falsified personal information;
9. not use the Services or Platform for any unlawful, fraudulent or improper activity, including for any experimental, testing or research purposes or otherwise in a manner for which the Services or Platform have not been designed;
10. not use the service to engage in any criminal or restricted activities, including but not limited to:
    • terrorist financing;
    • money laundering;
    • illegal gambling;
    • distributing or funding drugs;
    • malicious hacking; or
    • other illegal or prohibited activities.
    • not act in a manner that is defamatory, threatening or harassing;
11. not cause or permit any damage to or otherwise interfere with our Platform, including the software and user interface by which you submit your information;

The Platform and Services are provided without warranty of any kind, whether express, implied, statutory or otherwise. We do not guarantee that the Platform and Services will be available 100% of the time to meet your needs or requirements.

We will take the best steps to ensure that you can regularly access the Platform and Services in compliance with these Terms and Conditions, but there are no guarantees that access will be uninterrupted, secure, or that there will be no delays, failures, errors, omissions or loss of transmitted information. You acknowledge that we are not liable for temporary service outages caused by failures beyond our control, such as interconnected operating system failures, computer viruses, and forces of nature, as well as labor disputes, pandemics, and armed conflicts.

We may suspend use of the Platform or Services for maintenance and will make reasonable efforts to give you notice. You acknowledge and agree that this may not be possible in an emergency. The market rate at which you can buy, sell Cryptocurrency may differ from the price represented on our Platform if there is a period of increased market volatility, high volume trades, abrupt swings, or illiquidity in the market. Our site only displays the indicative price of cryptocurrencies, final quotes are given to you during the discussion over the phone. We are not responsible for any price fluctuations caused by market volatility, market or technical interruptions, delays, or any other factors beyond our control. You recognize and agree that your transaction will be processed at the current pricing agreed by us. We may decide not to execute a trade in certain situations, such as if the market rate significantly increases or lowers, or if there is a market disruption or an event beyond our control. We will not be held liable for any penalties, fines or taxes (except GST) and any exemplary, aggravated or punitive damages, liquidated damages or any indirect or consequential loss (including but not limited to loss of profit, loss of revenue, loss of business, loss of opportunity, loss of data, loss of contract, loss of production and loss of digital payment tokens). To the maximum extent permitted by law, you hereby agree and consent to indemnify us, and our partners, officers, directors, employees and agents against any action, liability, cost, claim, demand, loss, damage, proceeding or expense (Loss) of any nature arising under tort, statute, equity, contract or some other cause of action that we suffer as a result of:

• your negligent or wrongful acts or omissions, your breach of any law, regulation or rules, any damage that you cause to our Platform or any other user, person or entity, your use of the Platform or Services; or your violation of these Terms and Conditions or Privacy Policy, but you will not be liable for any Loss to the extent such Loss is the direct result of our negligent or wrongful acts or omissions.

We reserve the right to change, amend, modify, add or delete any of these Terms and Conditions, at any time and at our sole discretion. Your continued use of the Platform and Services following any changes to the Terms and Conditions signifies that you accept and agree to the changes, and that all subsequent transactions by you will be subject to the amended Terms and Conditions. You may close your account at any point in time, resulting in termination of these Terms and Conditions, following settlement of any pending transactions. You agree that we may, by giving notice and at our sole discretion terminate your access to the Platform, Services and Account, including without limitation:

• to limit, suspend or terminate access to the Services or Account;
• prohibit or restrict access to the Platform and its content, services and tools;
• take any technical or legal steps to keep you from accessing the Platform or Services if we are of the reasonable belief that you are: creating problems or legal liabilities, infringing the intellectual property rights of us or any third parties, or acting in a manner that is inconsistent with or in breach of these Terms and Conditions.

We may also at our own discretion, suspend, restrict, limit or terminate your Account for any reason, including without limitation, where:

• there are attempts to gain unauthorized access to the Platform, Services or another user's Account or providing assistance to others who are attempting to do so
• there are attempts to overcome software security features limiting use of or protecting any content
• there are attempts to use the Platform, Service or Account to perform any illegal activities such as:
  • Financing terrorism
  • Illegal gambling operations
  • Money laundering
  • Funding of drugs
  • Any other criminal or prohibited activities/li>
• there is a violation of these Terms and Conditions, our Privacy Policy or our security procedures
• there are unexpected technical or operational difficulties; or
• there is a request of law enforcement or other government agencies, if deemed to be legitimate and compelling by us, acting in our sole discretion.

You agree that we will not be liable to you or to any third party for termination, suspension or restriction of an Account or access to the Platform and Services in accordance with these Terms and Conditions. When you make a Buy Order on our platform, you will be required to provide us with your wallet address and the source of the wallet (private wallet - Trust Wallet/Metamask etc. OR exchange wallet – Binance/Huobi/FTX etc.). Your wallet address and wallet source, together with the Personal Information you provided during your Account Verification will be submitted to other VASP (Virtual Asset Service Providers) for us to comply with the Travel Rule requirements.

By making an order, you acknowledge and agree to allow us to provide our Travel Rule service provider with your personal information mentioned above.
The personal information that we collect about you through the Platform will only be used and disclosed by us in accordance with our Privacy Policy.

Nothing stipulated in our Terms and Conditions seek to stop us from complying with the reasonable direction from a government regulator or entity and you hereby acknowledge and agree that we may be unable to notify you of any action we are required to undertake as a result of a direction from a government regulator or entity.

We may use cookies to identify your computer on our server and so we can track your usage on our Platform. In some cases the cookies may collect and store personal information about you. This personal information will only be utilized by us in accordance with our Privacy Policy.

Ownership is on you to seek out professional advice with respect to your Account as well as to ensure that you remain compliant with any obligations which you may have.

The Terms and Conditions published on the date you view them on our Platform supersede any previous versions.

If any provision of the Terms and Conditions are held to be invalid, unenforceable or illegal for any reason, the remaining parts of the Terms and Conditions shall prevail in full force and effect.
